1. Introduction

Welcome to FLUF Connect, operated by FLUF Ltd ("we", "us", or "our"), a company registered in England and Wales under Company Number 12635755. FLUF Connect is a multi-marketplace crosslisting and inventory management platform that lets sellers list, synchronise, and manage products across connected marketplaces such as Depop, eBay, Shopify, Etsy, Vinted, Facebook Marketplace, and others.

These Terms & Conditions ("Terms"), together with our Privacy Policy and any other policies we reference, govern your access to and use of the FLUF website, FLUF Connect dashboard, mobile applications, browser extension, and any related services (together, the "Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Acceptance and Changes to These Terms

By creating an account, subscribing, or otherwise using the Service, you confirm that you accept these Terms and our Privacy Policy. We may modify these Terms at any time. Where changes are material we will provide reasonable notice (for example, by email or a notice within the Service). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

3. The Service

FLUF Connect provides software that helps you crosslist products, synchronise inventory and orders, and manage listings across third-party marketplaces. The Service depends on third-party platforms and their APIs, which are outside our control.

• We do not guarantee uninterrupted availability of any third-party marketplace, API, or integration.
• Third-party marketplaces may change, restrict, or remove their APIs or policies at any time, which may affect functionality.
• You remain responsible for complying with the terms of service, fees, and policies of every marketplace you connect.

4. Accounts and Connected Marketplaces

To use the Service you must create an account and may connect one or more marketplace accounts. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.

By connecting a marketplace, you authorise FLUF Connect to access that account and to create, edit, delist, and synchronise listings and order data on your behalf in order to provide the Service. You are solely responsible for the content, accuracy, and legality of the listings you create or crosslist.

5. Subscriptions, Billing and Renewal

Access to FLUF Connect is provided on a paid subscription basis. Subscriptions are billed in advance through our payment processor (Stripe).

• Each monthly payment gives you 30 days of access to the Service from the date that payment is taken. A "month" subscription is a 30-day period of access, not a calendar month.
• Subscriptions renew automatically for successive periods at the then-current price until cancelled.
• You may cancel at any time. Cancellation stops future renewals and takes effect at the end of your current paid 30-day period. Your access continues until the end of that period.
• Cancelling part-way through a period does not shorten, pro-rate, or refund the remaining days of the period you have already paid for.
• We may change subscription prices. Price changes apply to renewals only and we will give reasonable advance notice before they take effect.

6. Refunds

Subscription and service fees are non-refundable. Because each monthly payment grants a fixed 30-day period of access, we do not provide refunds or credits for partial periods, unused time, downgrades, or change of mind.

This refund position applies to FLUF Connect subscription and service fees. Refunds, chargebacks, and disputes relating to sales transactions between buyers and sellers (including FLUF Buyer and Seller Protection) are governed separately by our Refund Policy & Disputes.

7. Acceptable Use

You agree not to misuse the Service or help anyone else do so. In particular, you must not:

• Attempt to harm, probe, or circumvent the security or integrity of the Service or its infrastructure.
• Access any system, account, or data without authorisation.
• Use the Service to distribute malware, spam, or to engage in fraudulent, deceptive, or unlawful activity.
• List or crosslist counterfeit, illegal, or prohibited items, or content that infringes the rights of others.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted.

Violation of these Terms may result in immediate suspension or termination of your account, without refund, and may be reported to the relevant authorities.

8. Intellectual Property

All intellectual property rights in the Service, including software, design, text, graphics, and trademarks, are owned by or licensed to FLUF Ltd. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose while your subscription is active. You retain ownership of the listing content and data you provide, and you grant us the rights necessary to process it in order to operate the Service.

9. Third-Party Services and Links

The Service integrates with and may link to third-party marketplaces, payment processors, and other services that we do not own or control. We are not responsible for their content, availability, policies, fees, or practices. Your use of any third-party service is governed by that party's own terms.

10. Availability and Changes to the Service

We may modify, suspend, or discontinue any part of the Service, with or without notice. We aim to maintain reliable service but do not warrant that the Service will be uninterrupted, error-free, or that it will always be compatible with every third-party marketplace. We are not liable for any modification, suspension, or discontinuance of the Service, or for downtime or changes caused by third-party platforms.

11. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, FLUF Ltd disclaims all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

To the fullest extent permitted by law, FLUF Ltd and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost sales, or lost data, arising from your use of (or inability to use) the Service. Where liability cannot be excluded, our total aggregate liability will not exceed the subscription fees you paid to us in the three (3) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.

12. Indemnification

You agree to indemnify and hold FLUF Ltd harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your listings or content, your breach of these Terms, or your violation of any law or third-party rights, including the terms of any connected marketplace.

13. Suspension and Termination

You may stop using the Service and cancel your subscription at any time as described in Section 5. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. Termination for breach does not entitle you to a refund.

14. Governing Law

These Terms are governed by the laws of England and Wales without regard to conflict of law provisions. Any disputes relating to these Terms are subject to the exclusive jurisdiction of the courts of England and Wales.

15. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy & Disputes, and any other policies we publish, constitute the entire agreement between you and FLUF Ltd concerning the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force.
